1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Worthwise, a product operated by Buildware ("Buildware," "we," "us," or "our"). By accessing or using Worthwise, you agree to be bound by these Terms. If you do not agree, do not use Worthwise.

Worthwise is a trade name and product of Buildware. By using Worthwise, you are entering into this agreement with Buildware.

2. Description of Service

Worthwise is a personal-finance text-messaging service that connects to your existing financial accounts on a read-only basis (via Plaid) and provides:

3. Eligibility

You must be at least 18 years old and a resident of the United States to use Worthwise. You represent and warrant that you meet these requirements.

4. Account Registration and Phone Verification

To use Worthwise you provide your phone number and verify it by entering a 6-digit code sent via SMS. Your phone number is your identifier; we do not require a username or password.

By providing your phone number, you consent to receive SMS, RCS, or iMessage communications from Worthwise. Standard message and data rates may apply. Reply STOP to opt out of further messages.

5. Subscription and Payment

Worthwise is offered as a paid subscription. Pricing is displayed at signup and may change with notice. We charge the payment method on file at the rate displayed at signup ($5/month as of the date of these Terms).

Payment processing is handled by Stripe. Your use of Stripe is governed by Stripe's Terms of Service.

You may cancel at any time through in-app settings or by texting STOP. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial periods unless required by law.

Worthwise connects to your financial accounts through Plaid. By linking accounts, you authorize Plaid to access your account information on a read-only basis and provide it to Worthwise. Your use of Plaid is also governed by Plaid's Privacy Policy and End User Privacy Policy.

8. Not Investment Advice

Buildware is not registered as an investment adviser with the U.S. Securities and Exchange Commission or any state securities regulator. Worthwise does not provide investment advice, recommendations, or financial-planning services. The information Worthwise provides is for general informational and tracking purposes only and reflects facts about your existing accounts.

9. AI-Generated Responses

Worthwise uses large language models to generate conversational responses. AI-generated responses may contain errors. Always verify critical information against your original source (your bank, brokerage, retirement plan, etc.). Worthwise does not guarantee the accuracy or completeness of AI-generated responses.

10. Disclaimer of Warranties

WORTHWISE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT WORTHWISE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BUILDWARE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF WORTHWISE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO BUILDWARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. IN NO EVENT WILL BUILDWARE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Buildware and its officers, employees, and agents from any claims, damages, or expenses arising from your use of Worthwise or your violation of these Terms.

13. Termination

We may suspend or terminate your access to Worthwise at any time, with or without cause. Upon termination, your right to use Worthwise ends immediately. We will revoke your Plaid access tokens and stop sending messages to your number.

You may terminate your account at any time by replying DELETE to any Worthwise message or through in-app settings.

14. Governing Law

These Terms are governed by the laws of the State of [TBD], United States, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in [TBD].

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by SMS or in-app notice. Continued use of Worthwise after changes take effect constitutes acceptance of the updated Terms.
